Terms of Service

1. Acceptance of Terms

By accessing or using any ELLARI developer tool, API integration, or OAuth-connected application (collectively, "the Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Services.

These Terms apply to all authorized operators of ELLARI-MCP, FranchiseDash, Vault Protocol, and any other ELLARI product that uses third-party API integrations.

2. Authorized Use

The Services are intended exclusively for:

• Authorized internal operators of Ellari Ventures Development and its subsidiaries
• Individuals explicitly added as test users on the ELLARI Google Cloud OAuth consent screen
• Business entities that have executed a written integration agreement with Ellari Ventures Development

Use of the Services for any purpose not expressly authorized above is prohibited.

3. Prohibited Conduct

You agree not to:

• Access or use the Services to obtain data from accounts you are not authorized to access
• Use Gmail or other API integrations for bulk commercial messaging, spam, or unsolicited communications
• Reverse engineer, decompile, or attempt to extract source code from ELLARI applications
• Share OAuth tokens, API keys, or credentials with unauthorized parties
• Use the Services in violation of Google's Terms of Service, Plaid's Terms of Service, or any other third-party API provider's terms
• Use the Services to collect, store, or process sensitive personal data without appropriate authorization
• Attempt to circumvent Cloudflare Zero Trust access controls or other security measures
• Use data obtained through the Services for advertising, profiling, or commercial purposes not authorized by ELLARI

4. Third-Party API Terms

The Services integrate with third-party APIs including Google (Gmail), Plaid (financial data), and Cloudflare (infrastructure). Your use of these integrations is subject to the respective providers' terms:

• Google Terms of Service
• Google API Services User Data Policy
• Plaid End User Privacy Policy

Violation of any third-party provider's terms through use of ELLARI integrations will result in immediate suspension of access and, where required, reporting to the relevant provider.

5. Data and Confidentiality

Data accessed through ELLARI integrations — including email content, financial records, and business documents — is confidential and must be handled in accordance with our Privacy Policy. Operators are responsible for:

• Securing local devices on which OAuth tokens and credentials are stored
• Ensuring that data accessed through integrations is used only for authorized business purposes
• Reporting any suspected unauthorized access or token compromise to security@ellari.ai immediately

6. Intellectual Property

All ELLARI software, documentation, and platform components are proprietary to Ellari Ventures Development. No license to reproduce, distribute, or create derivative works is granted except as expressly stated in a written agreement. The ELLARI name, logo, and product names are trademarks of Ellari Ventures Development.

7. Access Revocation

ELLARI reserves the right to revoke access to the Services at any time, with or without notice, for any violation of these Terms or for security reasons. You may also revoke your own access at any time by:

• Removing the application from Google Account Permissions
• Deleting locally stored tokens via the CLI: gmail-mcp-cli remove <account>
• Contacting security@ellari.ai to request full data deletion

8. Disclaimer of Warranties

The Services are provided "as is" without warranty of any kind, express or implied. Ellari Ventures Development does not warrant that the Services will be uninterrupted, error-free, or secure. Use of the Services is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ellari Ventures Development shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Services, even if advised of the possibility of such damages.

10. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Texas.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted at this URL with an updated effective date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
